Donaki Partners Terms of Use

1. Introduction

These Terms of Use govern access to and use of the Donaki Partners portal (hereinafter the “Portal”).

Donaki Partners is the space reserved for shops, merchants, companies, self-employed professionals, administrators and professional representatives wishing to integrate Donaki services into their online store.

By creating an account, using the Portal or integrating Donaki services into an online store, the partner accepts these Terms of Use.

2. Official language

These Terms of Use are written in French.

Any translation into another language is provided for information purposes only.

In the event of any contradiction, difference of interpretation or ambiguity between the French version and a translated version, only the French version shall prevail.

4. Purpose of the Donaki Partners service

Donaki Partners allows a partner shop to integrate Donaki services into its e-commerce website, in particular by adding a Donaki button to its product pages.

This button allows visitors to the shop to add a product to their personal Donaki list, so that they can find it again, view it, share it or use it later as part of the services offered by Donaki.

The Portal allows the partner, in particular, to manage shop information, track integration status, access the necessary technical information and manage certain settings related to the partner account.

5. Account creation and access to the Portal

Access to the Portal requires the creation of a partner account.

The partner undertakes to provide accurate, complete and up-to-date information when registering and throughout the entire period of use of the Portal.

Access to the Portal is reserved for authorised users linked to a partner account. Each user is responsible for keeping their login credentials confidential.

The partner undertakes not to share login credentials with unauthorised third parties and to inform Donaki Partners without delay in the event of suspected unauthorised access, loss of credentials or account compromise.

6. Professional accounts and representatives

Donaki Partners is primarily intended for professional use.

When a person uses the Portal on behalf of a company, shop, self-employed professional or organisation, they guarantee that they have the necessary authorisation to act on its behalf.

The partner remains responsible for the actions carried out through its account and for the information provided to Donaki Partners.

7. Partner shop information

The partner may be required to provide information about its shop, including:

The partner guarantees that this information is accurate and lawful, and that it has the necessary rights to provide and use it within the Donaki network.

8. Validation and partner status

Donaki Partners may verify the information provided by the partner before or after activation of its account or integration.

Acceptance of a partner into the Donaki network is not automatic.

Donaki Partners reserves the right to accept, refuse, suspend or deactivate a partner, in particular in the event of non-compliance with these Terms of Use, inaccurate information, unlawful activity, security risk or misuse of the service.

9. Integration of the Donaki button

The partner may integrate a Donaki button into its online store, in particular through a plugin, module, script, API or any other technical method made available by Donaki.

The partner undertakes to use only integration methods authorised by Donaki Partners.

The partner may not modify, divert, hide, alter or reproduce the technical elements provided by Donaki in a way that could harm the operation, security, image or reliability of the service.

Donaki Partners may update, modify or replace integration methods in order to improve the service, correct technical issues, strengthen security or take functional developments into account.

Donaki Partners may refuse or suspend a shop when its activity, products or content are contrary to the law, public decency, third-party rights or Donaki’s internal rules.

Donaki Partners reserves the right to assess, on a case-by-case basis, whether a shop is compatible with the Donaki network.

12. Subscriptions, plans, payments and billing

Some Donaki Partners services may be offered free of charge, while others may be subject to a subscription or paid plan.

Pricing conditions, included features, validity periods and any limitations are indicated in the Portal or on the relevant information pages.

The partner is responsible for paying the amounts due when subscribing to a paid service.

Payments may be processed by an external payment service provider. In this case, Donaki Partners does not store full bank card numbers.

The partner undertakes to provide accurate payment information and to have the necessary authorisations to use the chosen payment method.

Donaki Partners may modify its offers, plans, prices or billing methods. In the event of a change applicable to an existing subscription, the partner may be informed by any appropriate means.

13. Suspension, expiry or termination of a subscription

In the event of expiry, payment failure, non-renewal or termination of a subscription, certain Portal or integration features may be limited, suspended or deactivated.

Donaki Partners may also suspend or deactivate an integration in the event of non-compliance with these Terms of Use, security risk, abuse or non-compliant use.

14. Availability, maintenance and service changes

Donaki Partners makes reasonable efforts to ensure the availability and proper functioning of the Portal and associated services.

However, Donaki Partners does not guarantee uninterrupted, permanent or error-free access.

The service may be temporarily unavailable, in particular in the event of maintenance, updates, technical incidents, overload, security intervention or events beyond the control of Donaki Partners.

Donaki Partners may modify, improve, suspend or remove certain Portal or technical integration features, in particular for technical, commercial, legal, security or service improvement reasons.

The partner is encouraged to keep the Donaki plugins, modules or technical elements used on its shop up to date.

15. Support

Donaki Partners may provide technical or administrative assistance through the contact methods made available in the Portal.

Support is provided within the limits of available resources and does not constitute a guarantee of immediate or systematic resolution of all issues encountered.

16. Intellectual property

Donaki, Donaki Partners, the logos, trademarks, texts, interfaces, graphic elements, software, plugins, buttons, modules, documents, databases and other elements made available as part of the service are protected by applicable intellectual property rights.

No provision of these Terms of Use transfers any ownership right over these elements to the partner.

The partner receives only a limited, non-exclusive, non-transferable and revocable right to use the elements made available by Donaki Partners strictly within the scope of the authorised integration.

17. Use of the Donaki logo and name

The partner may use the Donaki name, logo or brand elements only within the framework authorised by Donaki Partners.

Any use likely to create confusion, suggest an unauthorised affiliation, special endorsement or official representation of Donaki is prohibited.

Donaki Partners may ask the partner to modify or remove any non-compliant use of Donaki brand elements.

18. Data, confidentiality and security

Personal data processed within the Portal is governed by the Donaki Partners Privacy Policy.

The partner undertakes to comply with the applicable rules on personal data protection when using Donaki services on its own shop.

The partner remains responsible for the data processing it carries out on its own behalf on its shop or in its own systems.

The partner undertakes to take the reasonable measures necessary to protect its access, systems, shop and Donaki integration elements.

Keys, tokens, technical identifiers or integration secrets provided to the partner must remain confidential.

In the event of suspected or confirmed compromise, the partner must inform Donaki Partners without delay.

Donaki Partners may revoke or renew keys, tokens or technical access in the event of a security risk.

19. Partner liability

The partner is solely responsible for:

Donaki Partners does not act as seller, reseller, manufacturer, supplier or responsible party for the products offered by the partner shop.

20. Limitation of Donaki Partners’ liability

Donaki Partners may not be held liable for indirect damages, loss of revenue, loss of data, loss of customers, damage to image, business interruption or commercial consequences resulting from the use of, or inability to use, the Portal or Donaki integration.

Donaki Partners does not guarantee that the Donaki integration will generate any specific level of traffic, visibility, sales, conversion or revenue for the partner.

Donaki Partners may not be held liable for failures attributable to the partner, its shop, its hosting provider, third-party plugins, theme, technical configuration or external services.

21. Third-party links and services

The Portal or Donaki integration may contain links to or interactions with third-party services, including payment providers, hosting providers, e-commerce tools, plugins or external platforms.

Donaki Partners is not responsible for the content, operation, security or policies of these third-party services.

22. Termination of the partner account

The partner may request the deletion or deactivation of its partner account by contacting Donaki Partners.

Donaki Partners may suspend or terminate a partner account in the event of a breach of these Terms of Use, abusive use, security risk, unlawful activity, inaccurate information or conduct that harms the service.

Termination of the account may result in deactivation of the Donaki integration and deletion or limitation of access to the Portal.

After termination or deletion of the partner account, the partner must stop using the technical elements, trademarks, logos, buttons, keys or access provided by Donaki Partners, unless otherwise authorised.

Certain data may be retained where necessary to comply with a legal obligation, manage a dispute, ensure service security or retain temporary technical backups.

23. Changes to the Terms of Use

Donaki Partners may amend these Terms of Use in order to take into account, in particular, legal, regulatory, technical, commercial or functional changes to the Portal.

The applicable version is the one published on the Portal with its last update date.

In the event of a substantial change, Donaki Partners may inform partners by any appropriate means.

24. Applicable law

These Terms of Use are governed by Belgian law, subject to any applicable mandatory provisions.

25. Complaints and contact

In the event of a question, complaint or dispute relating to the Portal or these Terms of Use, the partner is invited to contact Donaki Partners before taking any other action.
